Non-compete policy

This policy sets out the mutual commitments between Localnord LLC ("Localnord") and the agencies and professionals using the platform ("the Agencies"). It supplements the Terms of Sale and aims to durably protect both the Agencies' goodwill and Localnord's intellectual property.

Localnord is a white-label technology provider: the commercial relationship with the end client belongs entirely to the Agency. Accordingly, Localnord undertakes never to:

• Directly contact or solicit the end clients managed by the Agencies
• Offer Google listing management services directly to an Agency's clients
• Use an Agency's data to prospect its own clients
• Disclose an Agency's business information to a competing third party

Our model is built on the success of the Agencies: we have no interest in competing with our own clients.

In return, and in accordance with intellectual property law, the Agencies undertake to:

• Not reproduce, copy or imitate all or part of the Localnord platform
• Not develop a competing product based on Localnord's code, features or design
• Not reverse-engineer the platform
• Not resell, sublicense or share access to the platform outside the white-label framework provided by the subscription

These commitments protect the Localnord platform, not the Agencies' business: an Agency remains entirely free to carry out its Google Business Profile services, including with other tools.

Localnord guarantees that all interfaces, reports, audits and communications generated through the platform are fully white-label customizable.

No mention of "Localnord" appears in materials intended for the Agencies' end clients, unless the Agency decides otherwise.

The end-client data managed through the platform remains the exclusive property of the Agency.

• Export: upon termination, the Agency may request the export of its data within 30 days.
• Deletion: after this 30-day period, Localnord permanently deletes the data, unless legally required to retain it.

• Localnord's commitments: valid throughout the subscription term and for 12 months after its termination.
• Protection of property: obligations relating to intellectual property (copying, reverse engineering, competing product) arise from copyright law and apply without time limit; the prohibition on reselling outside the white-label framework applies throughout the subscription term.

Any breach of the commitments described in this policy may result in:

• Termination of the subscription under the conditions set out in the Terms of Sale
• Legal action for infringement or unfair competition in the event of copying or misuse of the platform
